SIGNING THE CONTRACT

AUTHORIZATION

The client is engaging the designer as an independent designer for the specific project of creating and/or improving the Trade Your Trip website interface.

The client hereby authorizes the designer to access their test environment, and authorizes any other directories, documents or programs which need to be accessed for this project.

DESCRIPTION OF PROJECT AND PROCESS

  1. Matthijs Schippers will design specific parts of the website, for individual or corporate use to the specifications required by the client. The client is required to either give exact specifications or have Matthijs Schippers do their best to meet the general requirements laid out by the client.
  2. The estimate described in this document is only referring to the specifications given by the client at the time this document was printed. The date can be found on the bottom of this page. Additional work not included with this document will require further payment deemed necessary by Matthijs Schippers. If the design requires revisions the client will be billed accordingly and a new invoice will be issued.
  3. The process for the presentation of graphics consists of Matthijs Schippers providing drafts, using an Invisionapp(-like) application and asking for feedback from the client. The client then gives feedback or approves of the designs. The estimate assumes a maximum of 2 rounds of this process will suffice for designed screens.
  4. On approval, a design is now a final design and should be (double) checked by the client. Once approved, any unseen flaws or mistakes are no longer the responsibility of the designer and will be treated as new changes to the design. All final designs will be delivered to the appointed developer as a layered PSD-document.
  5. To maintain portfolio credentials and integrity, Matthijs Schippers, shall be entitled to reproduce samples of the designs, created for the client, in our portfolio and in any marketing material.

SPECIFICATION OF DESIGN SUMMARY

What? Improving the HOW IT WORKS - page design.
- Showing top menu without 'How it works’
- Reducing the excess white space above the How it works-title
- Placing How it works-title to the left
- Adjusting the page width, to match the width with all other pages of the TYT website
- Subtracting and integrating the two icons from the big yellow graphic into 2 columns > SELL and BUY
- Re-arranging the use of fontcolor -size -behaviour of the text in the 2 columns SELL and BUY
- Adding green (in case of ugliness will use yellow) checkmarks
- Adjust the size of the SELL BUY banners underneath 2 columns
-  Adjusting the background colours of different content blocks, to make them stand-out
- Adding social proof banner in between the 2 columns and the rest of the content below
- Making the visual difference between the YES it works block and the 2 Hassle Free and Secure blocks
- Creating 3 graphic icons to use instead of the texts Yes it works, Hassle free and Secure
- Adding black checkmarks (and maybe 1 other option if it creates a abundance of checkmarks on the page)
- Remove the BUY/SELL buttons on the bottom of page and make sticky footer with them
- Remove social proof from bottom (see Adding social proof above)

PLANNING

The designer and the client must work together to complete the design in a timely manner.

ASSIGNMENT OF PROJECT

Matthijs Schippers reserve the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion. Matthijs Schippers will be obligatory to bring to the attention of the client if any subcontractors will be used to work on the client's project and that subcontractor will be required to sign an NDA, when available, before any information is given and before any work is assigned to the subcontractor.

SINGLE POINT OF CONTACT

Diego Lozano has been added to this contract as a single point of contact between Matthijs Schippers and Trade Your Trip. All changes, updates, approvals, and modifications should come through this person in order to keep the project on task and on time. Any inquiries made outside of this point of contact will be pushed through the point of contact for verification.

PRICE ESTIMATE AND PAYMENT ARRANGEMENTS

  1. Matthijs Schippers estimates that the cost for creating the design as described in the specification will be 16 x €70 = €1120.
  2. Payments will be as follows: on the 28th of each month, Matthijs Schippers will invoice the sum of the total amount of hours spent that same month.
  3. The client will complete the payment within 14 days, after the date that is stated on the invoice sent by Matthijs Schippers.

If an amount remains delinquent 30 days after its due date, an additional 10% penalty will be added for each month of delinquency.
Any items created by Matthijs Schippers including logos, mock-ups, website designs, and other content remain property and copyright of Matthijs Schippers until the payment is paid in full by the client.
This agreement becomes effective only when signed by the designer or a Matthijs Schippers representative.

REFUND POLICY

If the client halts work and applies by registered letter for a refund within 30 days, to Matthijs Schippers, work completed shall be billed to the client at the hourly rate stated above.

REVISIONS AND REWRITES

Changes requested by the client that are not included in this contract and / or project scope will be billed at an hourly rate of €70 per hour.

The client is allowed a maximum of 2 revisions during the creating of the designs. Any revisions or additional requirements beyond the initial allowed revisions and requirements included in the project scope will be assessed and charged for at our hourly rate of €70.

All billable changes will be documented and brought to the attention of the client before any charges are accrued.

LEGAL INFORMATION

In no event will Matthijs Schippers be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the implementing of the designs created by Matthijs Schippers.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyrights and Trademarks

The client represents to Matthijs Schippers and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Matthijs Schippers for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Matthijs Schippers and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

Copyright to designs

Copyright to the finished assembled work of designs produced by the designer is owned by Matthijs Schippers until final payment of this contract, the client is assigned rights to use as a website, the design, graphics, and text contained in the finished assembled website. Matthijs Schippers and their subcontractors retain the right to display graphics and other web design elements as examples of their work in their respective portfolios.

SIGNING THE CONTRACT

The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.

I, Mark van der Wal, sign this document stating I have read and agreed to all of the above in cooperation with Matthijs Schippers in production and deployment of Trade Your Trip. I also agree that if under any circumstances I cannot afford to pay the remaining balance I forfeit the deposit and will have everything designed by Matthijs Schippers revoked and the contract terminated until I can pay the remaining balance in full.

All terms of this contract are contingent upon strike, accidents, or other causes beyond our control.
